Deal or No Deal-Advice please

Dec 94 SL320, 75K miles, full service history (not all MB) -very good condition but will soon need tyres and rear windows replaced. Being traded in against 2003 SL350 tip, 41k miles,FMBSH, panoramic roof,tel pre wire,parking sensors,upgraded alloys (not to everyones' taste) (needs 2 wheels refurbished and very small scratch on front spoiler repaired). Non MB dealer is wanting £20K for the transaction.
Is this a reasonable deal?
I have checked history of the SL350- no warranty work recorded other than routine servicing. Is there anything else I should be looking at? It may have other extras but I am not up to date with all the gadgetry-there is sat nav.
 
warranty must be cast iron!

I would be examining the warranty this non MB dealer is offering in great detail. MUST have a cast iron service record---enquire of the servicing MB dealer----no suspicious gaps --- 3 years old MOT due?? Check the roof mechanism works well by operating it several times in a row. Look for any signs of water damage/ingress from the hood area /Boot--can be difficult to get a good seal sometimes.

May 2004: 35,000 UK car recall of cars built from March 2002 over fault with electronic SBC brakes which can fail without warning and revert to the hydraulic front brakes back-up. 31-3-2005: Worldwide Recall: On vehicles with six and eight-cylinder petrol engines built between June 2001 and November 2004 the voltage regulator in the alternator is being checked and if necessary replaced. On E-Class and CLS-Class models made from January 2002 to January 2005, new battery control unit software is to enhance the on-board power supply. In addition, the braking systems on E-Class, SL-Class and CLS-Class models from the production period June 2001 to March 2005 are also to be updated. Customers are being informed in writing. Thanks for the info. I have checked service history and it all adds up. Being in N. Ireland, Mot is due after 4 years-car was Mot'd in June (due date) and has Mot to June 08. I am aware of leak problems and there is no trace of any anywhere. Any views on the deal?
