Key Fob not functioning (w210)

Hi guys, on my W210 (1998 E280 Avantgarde) I seen to have come up with a little new problem. The key was working fine and suddenly the key fob has stopped working (not a batt prob). I can't open the doors from the fob, nor can I start the car... Its the 3 button remote, and when I press the button the red light flashs, but no response from the car.
Any pointers appreciated...

Have you tried the spare key?

What is the condition of your car battery?.

Batt seems fine, have misplaced the spare, do you guys suspect its a dying batt?

The two functions shouldn't be related.
The key uses RF for the locking/unlocking and IR for the ignition lock interface.
No batteries are required for the key to work the ignition, it draws power from the car to exite the LED in the end of the key.

It sounds like you may have an alarm issue, the reciever is in the light console near the rear view mirror.
